2. Use License

User-generated content submitted through OEM inquiries and customization projects remains owned by the user; however, you grant CandyPro a non-exclusive, royalty-free license to use it for order fulfilment purposes.

6. Payment Terms

Unless otherwise agreed in writing: (a) Invoices are issued upon order confirmation; (b) Payment terms are net 30 days for approved customers, unless different credit terms are stated on your account; (c) New customers may require advance payment or letter of credit; (d) All prices are in USD unless otherwise stated; (e) Late payments may incur interest at the rate of 1.5% per month or the maximum permitted by law.

7. Delivery and Shipping

Delivery terms are determined by reference to the Incoterms agreed on each order. Unless otherwise specified, delivery is FOB Shanghai Port. Production and delivery schedules are provided by our sales team in your order confirmation; this website does not publish fixed week or month estimates. The buyer is responsible for import customs clearance, duties, and taxes in the destination country.

3. Limitations

In no event shall CandyPro or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on CandyPro's website.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Shanghai International Arbitration Commission (SHIAC) in accordance with its Arbitration Rules.

4. Revisions and Errata

The materials appearing on CandyPro's website could include technical, typographical, or photographic errors. CandyPro does not warrant that any of the materials on its website are accurate, complete, or current.

12. Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the services will cease immediately.

Export Controls & Sanctions

All transactions are subject to applicable export control laws and regulations, including without limitation the Customs and Export Administration Regulations of the People's Republic of China and international sanctions regimes. We reserve the right to refuse any order that violates applicable export control laws or sanctions regulations. Buyers are prohibited from re-exporting, diverting, or reselling CandyPro products to sanctioned countries, individuals, or entities.

CandyPro does not conduct business with or ship products to countries, individuals, or entities subject to comprehensive sanctions by the UN Security Council, the People's Republic of China, or other applicable jurisdictions. By placing an order, you represent that you are not subject to any such sanctions regime.
